DLA Piper has advised ASTA Energy Solutions on its initial public offering on the Frankfurt Stock Exchange. Schoenherr, working with Linklaters, advised the banks involved.
Berenberg acted as the sole global coordinator and joint bookrunner. Commerzbank, in cooperation with ODDO BHF and Raiffeisen Bank International, acted as joint bookrunners, with Baader Bank involved as co-lead manager without an underwriting role.
According to DLA Piper, the IPO comprised an offering of 4.24 million new shares and 1.37 million existing shares sold by ETV Montana Holding and Makra – both controlled by Michael Tojner – together with an over-allotment option of up to 0.84 million shares from ETV Montana Holding. At an offer price of EUR 29.50 per share, the total placement volume was approximately EUR 190 million, assuming full exercise of the greenshoe option. ASTA’s shares were admitted to trading on the Regulated Market (Prime Standard) of the Frankfurt Stock Exchange. The transaction included a public offering to investors in Germany and Austria and private placements to qualified institutional investors in other jurisdictions, including the United States.
