Noerr Advises Aurelius on Acquisition of Dental Bauer and Pluradent

Noerr has advised the Aurelius Group on its acquisition of dental distributors Dental Bauer and Pluradent. Binder Groesswang and Homburger reportedly advised Aurelius. Anwaltsgemeinschaft Stuttgart reportedly advised Dental Bauer, with Grub Brugger reportedly advising Pluradent.

The transaction remains contingent on regulatory approval.

According to Noerr, "Pluradent is being acquired while under debtor-in-possession management."

"The two transactions are being carried out in close partnership with the Linneweh family, who have been very successful in building up Dental Bauer over the past decades," Noerr added. "The Linneweh family will be reinvesting in the newly created market player and will stay on board as its management team. The aim is to work together with Aurelius to drive forward the integration of the two companies and to evolve them to become a leading European dental distribution platform with more than EUR 300 million in revenues."

The Aurelius Group is a pan-European asset management group with offices in Munich, London, Stockholm, Madrid, Amsterdam, Milan, and Luxembourg.

Founded in 1947, Dental Bauer is a family-owned company that distributes consumables, capital equipment, and devices, and provides technical and consulting services for dental practices and laboratories. The company operates in German-speaking countries and the Netherlands.

Pluradent is a German dental distributor that supplies dental facilities with consumables, equipment, and devices as well as technical services. The group operates foreign subsidiaries and has its own distribution center in Kassel, Germany.
