Tuca Zbarcea & Asociatii, working with Osborne Clarke, has advised Vodafone Romania in an agreement to acquire Hellenic Telecommunications Organization S.A.'s (OTE) stake in Telekom Romania Mobile Communications while the prepaid business and certain assets of Telekom Romania Mobile Communications were sold to Digi Romania. Filip & Company and Addleshaw Goddard advised Digi. Mayer Brown International and Eversheds Lina & Guia reportedly advised the sellers.
According to Tuca Zbarcea & Asociatii, the total enterprise value of the deal is EUR 70 million. "The transaction strengthens Vodafone Romania’s position on the Romanian telecom market. The two companies will continue to operate as separate legal entities albeit part of the same group until completion of the legal merger process, which is expected to take place in 2026."
According to Filip & Company, Digi Romania's acquisition, worth EUR 40 million, includes the transfer of assets such as spectrum licenses, telecommunication towers, as well as the transfer of the business of providing prepaid mobile telecommunications services from TKRM to DIGI, followed by the acquisition of TKRM shares by Vodafone Romania S.A. The closing took place on October 1, 2025.
