Andronic x Partners has advised the shareholders of Kepler Management Systems on the sale of the company to the Bittnet Group. Pop & Partners advised the buyers.
The transaction included a RON 3.13 million cash consideration paid by Bittnet subsidiary Elian Solutions and RON 1 million in Bittnet Systems shares, plus a variable component based on Kepler’s EBITDA for 2023. Bittnet Systems will hold a 24.2% stake in Kepler, while Elian Solutions will hold 75.8%.
Kepler Management Systems is a Romanian ERP solution integrator of Microsoft Dynamics 365 Business Central.
Bittnet Systems is a Romanian-owned company active in IT. It was listed on the Bucharest Stock Exchange’s AeRO market in 2015. Its shares were admitted to trading on the BSE Main Market in 2020.
Elian Solutions has been part of the Bittnet Group since 2018, in the Platforms and Software pillar of the group.
