MFW Fialek has advised Tutore Poland on its merger with ProfiLingua. Balicki Czekanski Gryglewski Lewczuk advised Wydawnictwa Szkolne i Pedagogiczne on the demerger of ProfiLingua, with Modzelewska & Pasnik reportedly advising WSiP on competition proceedings.
Tutore Poland started its educational activity in 2017, offering in-school classes throughout Poland. Following the outbreak of the COVID-19 pandemic in 2020, the company switched to online education for children and adults.
According to MFW Fialek, “before the merger, the language schools operated by ProfiLingua will be spun off from Wydawnictwa Szkolne i Pedagogiczne. As a result of this transaction, Tutore Poland will join forces with ProfiLingua, the most recognizable educational brand in Poland. Both Tutore Poland and ProfiLingua will continue to operate under their separate respective brands.”
MFW Fialek’s team included Partner Miroslaw Fialek, Associates Pawel Siwiec, Wojciech Lichterowicz, Mateusz Wieckowski, and Grzegorz Policht, and Junior Associate Adriana Kloda-Szczesna.
BCGL's team included Partner Bartosz Gryglewski and Senior Associate Justyna Szuprowska.
Editor's Note: After this article was published, Modzelewska & Pasnik confirmed it had advised WSiP on merger clearance. The firm's team included Partners Malgorzata Modzelewska de Raad and Piotr Pasnik and Legal Adviser Aneta Sakowicz.
