Freshfields Advises Ams OSRAM on EUR 114 Million Sale of Entertainment & Industry Lamps Business to Ushio

Freshfields Bruckhaus Deringer has advised Ams OSRAM on the sale of its Entertainment and Industry Lamps business to Ushio.

Ams OSRAM operates in light and sensor solutions.

Ushio is a Japan-based optical technology company.

According to Freshfields, the transaction, valued at EUR 114 million on a cash-and-debt-free basis, is expected to close by the end of March 2026, subject to standard closing conditions. The ENI business, which generated revenues of approximately EUR 170 million in 2024, includes advanced specialty lighting products for sectors ranging from infrastructure and cinema to semiconductor wafer fabrication. Around 500 employees will transfer to Ushio as part of the deal.

The Freshfields team included Vienna-based Principal Associate Christoph Wanek as well as further lawyers in Frankfurt, Hamburg, Brussels, and Beijing.
